There instances that we tend to agree with the dissenting or separate opinion of the case we read. Example in the G.R No. L-48930, the court should pierced the viel of corporate fiction on the ground of fraud where the defendant has a full knowledge of the insolvency of his company and still agreed to deliver a thing which resulted to his (defendant) failure and refusal to perfom such obligation due to insolvency.
